Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Arcane Orbit Digital LLP ("Arcane Orbit", "we", "us", or "our"), concerning your access to and use of our website, mobile applications, software, and related services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1. Eligibility
You must be at least the age of majority in your jurisdiction, or the minimum age required to use the applicable app store, to use the Services. By using the Services, you represent and warrant that you meet these requirements and that you have the legal capacity to enter into these Terms.
2. Intellectual Property Rights
Unless otherwise indicated, the Services are our proprietary property. All source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics, together with the trademarks, service marks, and logos contained therein (the "Content"), are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted, no part of the Services or Content may be copied, reproduced, republished, distributed, or otherwise exploited without our prior written permission.
3. License to Use the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Services for your personal, non-commercial use on a device that you own or control. This license does not permit you to modify, reverse engineer, or create derivative works of the Services, except to the extent such restrictions are prohibited by applicable law.
4. User Representations
By using the Services, you represent and warrant that: (1) you have the legal capacity and agree to comply with these Terms; (2) you are not a minor in the jurisdiction in which you reside, or you have received parental or guardian consent to use the Services; (3) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise, except as expressly permitted; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.
5. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make them available. Prohibited activities include, but are not limited to:
- Violating any applicable law, regulation, or third-party right;
- Attempting to gain unauthorized access to the Services, other user accounts, or our systems;
- Interfering with, disrupting, or overloading the Services or connected networks;
- Introducing malware, viruses, or other harmful code;
- Reverse engineering, decompiling, or disassembling any part of the Services except as permitted by law;
- Using the Services to harass, abuse, defraud, or harm others;
- Collecting or harvesting data from the Services without authorization.
6. User Content
If the Services allow you to submit, upload, or transmit content ("User Content"), you retain ownership of your User Content but grant us a non-exclusive, worldwide, royalty-free license to use, store, and process it solely as necessary to operate and provide the Services. You are solely responsible for your User Content and represent that you have all rights necessary to submit it and that it does not violate these Terms or any law.
7. App Store Terms
If you download our application from a third-party app store (such as the Apple App Store or Google Play), you acknowledge that these Terms are between you and us, not with the app store provider, and that your use is also subject to the app store's applicable terms of service. The app store provider has no obligation to furnish support or maintenance for the application.
8. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the fullest extent permitted by law, in no event will we or our partners, officers, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid us, if any, in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Arcane Orbit Digital LLP and its partners, officers, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your use of the Services, your User Content, or your breach of these Terms.
11. Term and Termination
These Terms remain in effect while you use the Services. We may suspend or terminate your access to the Services at any time, without notice or liability, for any reason, including if you breach these Terms. Upon termination, the license granted to you ends and you must cease all use of the Services. Provisions that by their nature should survive termination will survive.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to applicable law, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Hamirpur, Himachal Pradesh, India.
13. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
